Welcome to the Bluegrass Capital Collective, LLC partner portal (the "Platform"). This Platform is owned and operated by Bluegrass Capital Collective, LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "Partner"), and the Company, concerning your access to and use of our web application and internal accounting dashboard.

This Platform serves strictly as a private, secure administrative ledger and informational portal for verified partners of Bluegrass Capital Collective, LLC. The Platform does not offer retail consumer financial products, open-market investment broker services, or public financial trading to the general public.

1. Acceptance of the Terms

By accessing the Platform, logging into your authenticated account dashboard, or submitting cash allocations to your account ledger, you acknowledge that you have read, understood, and agree to be bound by all of these Terms.

If you do not agree with all of these Terms, you are expressly prohibited from using the Platform, and you must diconstinue use immediatly.

2. Partner Eligibility & Account Security

To access the secure, internal ledger elements of the Platform, you must meet the following strict administrative criteria:

Authorized Membership: Access is restricted exclusively to legally recognized members and partners of Bluegrass Capital Collective, LLC who have executed the firm's formal Operating Agreement.

Credential Confidentiality: You are entirely responsible for maintaining the strict confidentiality of your account login information, including usernames, passwords, and active session authentication cookies.

Unauthorized Activity: You agree to notify the Company immediately of any unauthorized use of your account, security token drops, or any other breach of network security. The Company will not be liable for any losses caused by unauthorized access to your portal profile.

3. Prohibited uses & platter security

You may not access or use the Platform for any purpose other than the standard internal capital tracking for which we make the software available. Prohibited activities include, but are not limited to:

Reverse Engineering: Attempting to decipher, decompile, disassemble, or reverse-engineer any of the underlying source code, algorithmic trading strategy indicators, or technical signal matrices used by the backend application.

Data Scraping: Deploying automated scripts, spiders, scrapers, or data harvesting bots to extract global ledger tracking metrics, private member data, or asset allocations from the platform database.

Malicious Bypass: Attempting to circumvent, disable, or interfere with security-related components of the Platform, including cross-tenant access testing or privilege escalation maneuvers.

4. Third-party data & disclaimer of warranties

The Platform utilizes data structures, live pricing quotes, and historical performance charts generated from third-party application programming interfaces (APIs), including but not limited to financial market data feeds.

"As-Is Provision: The Platform and all internal ledger analytics are provided on an "as-is" and "as-available" basis.

Data Accuracy: The Company does not guarantee, warrant, or represent the absolute accuracy, timeliness, or sequencing of external data feeds.

No Financial Liability: You agree that the Company is not responsible for floating calculation disparities, execution latency, network connectivity failures, or temporary server maintenance blackouts that cause transient data sync delays.

5. Governing Law

These Terms and your use of the Platform are governed by and construed in accordance with the internal laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any legal action or formal enforcement proceeding arising out of these terms shall be brought exclusively in the state or federal courts located in Kentucky.
