Liquidation & Exit Policy

Bluegrass Capital Collective, LLC ("we," "us," or "our") operates as a private investment collective. This Capital Liquidation & Exit Policy ("Policy") establishes the binding operational protocols, valuation methods, and settlement timelines governing capital account drawdowns, unit liquidations, and partner exit procedures from the Bluegrass Capital Collective platform.

Capital injections handled through this Platform constitute corporate equity contributions for the minting of internal collective units. They are explicitly not retail consumer product purchases. Consequently, capital allocations are not subject to standard retail consumer credit card or ACH chargebacks, retail return windows, or immediate transaction reversals.

1. Absolutely no-refund protocol

All capital injections submitted by an authorized partner to the collective database are finalized instantly upon bank clearance for the strict purpose of minting localized collective units. Because capital is systematically deployed into market assets according to the collective’s core strategy algorithms, no immediate, retroactive, or unconditional refunds are permitted under any circumstances.

2. Liquidation Settlement Windows

Partners who wish to withdraw capital or exit their structural positions within the collective must do so via our formal liquidation windows. This structure ensures market transactions do not disrupt floating fund stability:

Notice Requirement: A partner must submit a formal written liquidation or exit request via our secure administrative platform channels at least fifteen (15) calendar days prior to a settlement window.

Active Windows: Capital unit liquidations are processed and calculated at the close of each standard operational calendar month or calendar quarter.

3. Unit Valuation Method

When a liquidation window closes, the cash value of a partner’s exit payout is calculated precisely based on our verified multi-tenant ledger formulas. The cash value per unit is derived from the net asset value (NAV) of the entire collective pool at the exact time of the market close on the liquidation date, using the following equation:

Uninvested Cash Reserve + Live Portfolio Market Value
Total Outstanding Minted Units

Uninvested Cash Reserve: The total pool of liquid, uncommitted cash held in collective accounts (including interest and asset yield).

Live Portfolio Market Value: The real-time aggregate valuation of all active equity positions based on live closing market data feeds.

Total Outstanding Minted Units: The sum of all capital units currently distributed across the entire partnership matrix.

Your final payout will equal your total number of requested liquidation units multiplied by the calculated Per-Unit Value.

4. Deduction of Transaction Overhead and Fees

To protect the remaining partners from capital dilution, all expenses incurred to generate liquid cash for an exit will be borne entirely by the exiting partner. Payouts will be net of real-world transaction overhead recorded in the ledger, including:

Brokerage Commissions: Standard transaction charges or execution fees levied by brokers during asset liquidations.

Regulatory & Exchange Fees: SEC, FINRA, or clearinghouse transaction fees incurred while selling open market positions.

Banking Rail Overhead: External costs associated with outbound wire transfers or commercial corporate ACH processing.

5. Payout and Settlement Timelines

Once the asset liquidation is executed and transaction fees are computed, funds are processed through standard banking channels:

Processing Period: Payout distributions are initiated within five (5) to ten (10) regular business days following the close of the active liquidation window.

Delivery Mechanism: Capital settlements are distributed exclusively via corporate ACH direct deposit, secure domestic bank wire, or physical corporate check issued to the identity on file in the Partner Profile options.
